The successful merger of Global Defense & National Security Systems, Inc. and STG Group, Inc. was completed on November 23rd. The newly formed company will take the STG Group Inc. name and anticipates trading under the ticker STGG shortly.
GDEF is a special purpose acquisition company with clients in the U.S. defense and national security sectors. STG works with over 50 U.S. federal agencies to bring cyber, software and intelligence solutions. The newly formed company intends to pursue acquisitions of innovative mission-critical companies to build on its current capabilities and serve a larger market.

The Leadership of the newly formed STG Group, Inc. will include Paul Fernandes as President and COO, Charles Cosgrove as CFO, Dale Davis will take on the role of Chief Integration Officer. The Board of Directors will be comprised of the following individuals: Simon Lee, who will be serving as the Chairman of the Board of Directors; Damian Perl, Chairman and CEO of Global Strategies Group; Hon. David Gompert, former ACting Director of National Intelligence; Hon. Ronald Spoehel, former CFO of NASA and ManTech; and Vice Admiral Robert Murrett, former Director of the National Geospatial Intelligence Agency.
Cowen and Company, LLC served as financial advisor to GDEF and Morrison & Foerster LLC is serving as legal counsel. Holland and Knight, LLC served as legal counsel to STG on this transaction.
